Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the FashClick website at fashclick.io, our applications, APIs, and other services (collectively, the “Services”) provided by FashClick (“FashClick”, “we”, “our”, “us”). The current version of these Terms is always available at fashclick.io/terms-of-service.

By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services you represent that you meet this requirement and that any information you provide is accurate.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at fashclick@vrittiq.co.uk if you suspect unauthorised access. We are not liable for any loss arising from your failure to safeguard your credentials.

3. Plans, credits, and billing

• The Services are offered under various plans, each with a defined number of monthly credits and feature set. Plan details are shown on our pricing page and may be updated from time to time.
• Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date.
• Fees are non-refundable except where required by law or expressly stated. Unused credits may roll over only as specified by your plan.
• We may change pricing for new billing cycles by giving you reasonable notice. Continued use after the change constitutes acceptance.

4. Acceptable use

You agree not to use the Services to:

• Upload or process images of any person without their consent, including images of minors.
• Generate or distribute content that is unlawful, defamatory, harassing, hateful, sexually explicit, or that infringes on another person's rights, including intellectual property and privacy rights.
• Impersonate any person or misrepresent your affiliation with any person or entity.
• Attempt to reverse-engineer, scrape, or interfere with the Services, our infrastructure, or the AI models that power them.
• Resell, sublicense, or use the Services to build a competing product without our written consent.
• Use the Services in violation of any applicable law, regulation, or third-party right.

5. Your content

You retain ownership of the content you upload (“Your Content”). You grant FashClick a non-exclusive, worldwide, royalty-free licence to host, store, process, and display Your Content solely to provide and improve the Services for you.

You represent and warrant that you have all rights necessary to upload Your Content and grant the licence above, and that Your Content does not violate these Terms or any applicable law.

6. Generated outputs

Subject to your compliance with these Terms and payment of applicable fees, FashClick assigns to you the rights it holds in the AI-generated outputs you create through the Services (“Outputs”). Outputs are produced from your inputs using machine learning models, so similar inputs across users may yield similar Outputs.

You are solely responsible for the use, distribution, and publication of Outputs and for ensuring your use complies with applicable law and the rights of any individuals depicted.

7. Intellectual property

The Services, including all software, models, designs, text, graphics, and trademarks, are owned by FashClick or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted, no rights are transferred to you.

8. Third-party services

The Services may integrate with third-party services (such as payment processors and analytics providers). Your use of those services is subject to their own terms and privacy policies, and we are not responsible for their content or practices.

9. Termination

You may stop using the Services and cancel your subscription at any time from your account settings, or permanently delete your account and associated data at fashclick.io/delete-account. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms, are misusing the Services, or for any legitimate business reason. On termination, your right to use the Services ends immediately and unused credits are forfeited.

10. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that Outputs will be accurate, complete, or fit for any particular purpose.

11. Limitation of liability

To the maximum extent permitted by law, FashClick and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or in connection with your use of the Services. Our total aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless FashClick from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) Your Content; (b) your use of the Services; or (c) your violation of these Terms or applicable law.

13. Changes to the Services and Terms

We may modify the Services or these Terms at any time. If we make material changes to these Terms, we will provide notice through the Services or by email. Continued use of the Services after the changes take effect constitutes your acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws principles. The courts located in London, United Kingdom, shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, except that we may seek injunctive relief in any competent jurisdiction.
